Abstract: This fund prospectus outlines the Gaia Africa Climate Fund (GACF), a $200 million Article 9 green investment vehicle focused on acquiring secondary equity in utility-scale renewable energy and clean infrastructure projects across 13 African countries, including Kenya. The fund targets solar, wind, and hydro energy investments with stable returns of 12?15%, while recycling capital into greenfield infrastructure. Kenya is prominently featured with two flagship deals: the 102 MW Kipeto Wind Farm and a 56 MW solar project. GACF highlights barriers in the African energy financing ecosystem?such as limited secondary markets and developer exit options?and proposes innovative financial structuring to catalyze clean energy access. With an emphasis on climate justice, carbon-linked impact finance, and institutional de-risking, the fund aligns with Africa?s sustainable development priorities.
